Terms of Service

By accessing or using the DiVentra Labs website, services, or platforms, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must discontinue use immediately. These terms constitute a legally binding agreement between you ("Client") and DiVentra Labs ("Company," "we," "us"). We reserve the right to update these terms at any time; continued use after changes constitutes acceptance of the revised terms.

DiVentra Labs provides software development and AI solutions including but not limited to web development, mobile development, UI/UX design, cloud architecture, DevOps consulting, quality assurance, and digital transformation strategy. The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate Statement of Work (SOW) or services agreement executed by both parties. All services are rendered on a reasonable efforts basis unless otherwise expressly stated in writing.

Upon full payment for services, we assign to the Client all intellectual property rights in the custom deliverables created specifically for the project. DiVentra Labs retains ownership of its pre-existing intellectual property, tools, methodologies, frameworks, and libraries used during the engagement. We grant the Client a perpetual, royalty-free license to use any such pre-existing IP incorporated into deliverables. The Client warrants that all materials provided to us do not infringe third-party rights.

The Client agrees to provide timely access to necessary resources, information, and personnel required for project execution. The Client is responsible for the accuracy and completeness of all materials and requirements provided. Delays caused by the Client's failure to meet obligations may result in adjusted timelines and additional costs. The Client must designate a single point of contact authorized to make decisions and approve deliverables throughout the engagement.

Fees are as set forth in the applicable SOW or service agreement. Invoices are due within thirty (30) days of the invoice date unless otherwise specified. Late payments may incur a service charge of 1.5% per month or the maximum allowed by law. All fees are exclusive of applicable taxes, which the Client is responsible for paying. We reserve the right to suspend services for accounts that are more than thirty (30) days past due.

To the maximum extent permitted by law, DiVentra Labs' total liability for any claims arising under these terms shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. In no event shall we be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages. This limitation applies regardless of the legal theory under which a claim is brought.

Either party may terminate a specific engagement with thirty (30) days written notice. DiVentra Labs may terminate immediately if the Client breaches any material term and fails to cure within fifteen (15) days of notice. Upon termination, the Client must pay for all services rendered through the termination date. Sections pertaining to intellectual property, payment, liability, and governing law shall survive termination.

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these terms shall be resolved exclusively in the courts located in Ahmedabad, Gujarat, India. The parties consent to the personal jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.
